PLEASE READ THESE TERMS AND CONDITIONS OF USE CAREFULLY BEFORE ACCESSING, BROWSING, INSTALLING, DOWNLOADING OR OTHERWISE USING THE CO-OPERATIVE RETAILING SYSTEM WEBSITES AND APPLICATIONS INCLUDING CO-OP.CRS AND OTHER WEBSITES, PLATFORMS, PORTALS, MOBILE APPS, AND ANY RELATED DOCUMENTATION, SERVICES, FEATURES AND INFORMATION MADE AVAILABLE THROUGH THE WEBSITES, PLATFORMS, PORTALS AND MOBILE APPS OPERATED BY OR FOR FEDERATED CO-OPERATIVES LIMITED ON BEHALF OF ITSELF AND ITS MEMBER RETAIL CO-OPERATIVES (COLLECTIVELY THE "SITES").

BY CLICKING ON THE "I ACCEPT" BUTTON OR BY ACCESSING, BROWSING, DOWNLOADING, INSTALLING OR OTHERWISE USING THE SITES, YOU AGREE THAT YOU HAVE READ THESE TERMS AND CONDITIONS OF USE AS SET OUT BELOW ("SITE TERMS"), THAT YOU UNDERSTAND THE SITE TERMS, AND THAT YOU AGREE TO BE BOUND BY THE SITE TERMS. IF ACCEPTING THESE TERMS ON BEHALF OF A BUSINESS, CORPORATION, OR ORGANIZATION, YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, POWER, AND AUTHORITY TO DO SO ON BEHALF OF THAT ENTITY.

1. Acceptance of Site Terms

These Site Terms constitute a legal agreement between you, Federated Co-operatives Limited ("FCL") and its member retail co-operatives (each a "Retail") and your access, installation, download, and or use of the Sites constitutes your acceptance of and agreement to comply with these Site Terms as they may be revised or updated from time to time.

FCL and the Retails may revise and update these Site Terms from time to time without notice. Any and all such modifications are effective immediately upon posting and apply to all access to and continued use of the Sites. It is your responsibility to revisit these Site Terms periodically to check for such updates as they will be binding on you.

2. Related Site Terms and Other Agreements

In addition to these Site Terms, additional terms and conditions apply to your use of certain services or features of the Sites, including the purchase of products and services, and application for membership in a Retail, and are included as part of the Site Terms unless otherwise indicated. Please refer to and review all additional Site, feature and service specific terms and conditions at the Sites as they will also be binding on you further to these Site Terms.

These Site Terms apply exclusively to your access to, and use of the Sites and do not alter in any way the terms and conditions of any other agreements you may have with FCL or a Retail for products, services or otherwise.

3. License to Access and Use the Sites

FCL grants you a limited, personal, non-exclusive, and non-transferable license and right to access and use the Sites on a computer, mobile or hand-held device for the purpose of enabling you to use and enjoy the benefit of the Sites, services and features, subject to the limitations, restrictions and terms contained in these Site Terms.

You agree that you shall not and shall not permit any other person to: (i) copy, modify or create derivative works of the Site or Content (defined below), in whole or in part; (ii) reverse engineer, disassemble, decompile, decode, adapt or otherwise attempt to derive or gain access to any software component of the Sites, in whole or in part; (iii) use the Sites or Content in any manner or for any purpose that infringes, misappropriates or otherwise violates any intellectual property right or other right of any person; (iv) use the Sites or Content in any manner that violates any applicable federal, provincial, local, or international law or regulation including, without limitation, any laws regarding the export of data or software, patent, trademark, trade secret, copyright, or other intellectual property, legal rights (including the rights of publicity and privacy of others) or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Site Terms and the applicable privacy policies of FCL or the Retails; (v) violate the terms of use of any third party website that is linked to the Sites, including but not limited to, any third party social media website; (vi) involve, provide, or contribute any false, inaccurate, or misleading information; or (viii) use the Sites or the Content in any manner that otherwise violates or contravenes these Site Terms. FCL and the Retails are not responsible for ensuring that you are able to use the Sites, including the services offered on and features of the Sites, in combination with any other software, hand-held devices, hardware, or equipment.

The Sites are designed and intended for use by adults. If you are under 18, and unless otherwise indicated, you may use the Sites only with the involvement of a parent or guardian. If you are a parent or legal guardian, you must monitor and supervise the use of the Sites by children, minors and others under your care. You agree to be responsible for their use of the Sites.

4. Intellectual Property and Ownership

All right, title and interest in and to the Sites and the Content displayed on the Sites ("Content") is owned by FCL, the Retails or other third-parties and the Sites are protected by copyright, trademark, intellectual property rights and other laws. There is no transfer to you of any title to or ownership of the Sites, intellectual property or Content and, except as expressly stated herein, each of FCL, Retails or the respective third party owners reserve all rights, including without limitation, all intellectual property rights or other proprietary rights, in connection with the Sites, intellectual property and the Content.

Further, and without limiting the generality of the foregoing, nothing contained on the Sites should be construed as granting, by implication or otherwise, any license or right to use any intellectual property or Content displayed on the Sites without the prior written permission of the respective intellectual property or Content owner. Except as stated in these Site Terms, none of the Content or intellectual property described in these Site Terms may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means, including, but not limited to, electronic, mechanical, photocopying, recording or otherwise, without the prior written permission of FCL or the respective third party owner. Notwithstanding however, you may electronically copy and print to hard copy portions of the Sites for the sole purpose of using such for your personal, informational and non-commercial use only, and provided that you maintain all copyright and other notices contained on the Sites. Any other use is strictly prohibited.

"Content" means all information, software, programs and materials on the Sites, including, without limitation, trademarks design, product names, prices and descriptions, text, graphics, illustrations, icons, other files, photographs, video clips, codes, layout, designs, forms, data, information, documents, resources, written or other materials that are part of the Sites, and the selection and arrangement thereof.

5. Your Account, Credentials and Data

You will be asked to create an account in order to access or use certain services or features of the Sites. When creating or updating an account, you may be asked to provide the following information: (i) name; (ii) address; (iii) email address; (iv) a valid password created by you; (v) mobile phone number; (vi) Co-op membership number; and (vi) other information that we may request in order to create your account or to assist you with requests related to your account or that may be required in order to access or use certain services or features on the Sites.

Unless otherwise indicated in these Site Terms or on the Sites, your account is specific to you and/or your business, corporation, or organization, and you may not share your account with any other person. You are responsible for managing your account and password and for keeping strictly confidential your username, password, and any other piece of information submitted by you, provided to you, or required as part of account security procedures. You acknowledge that you are solely responsible for any and all activities and transactions that occur on your account or through the use of your password by yourself, or other persons, whether or not authorized by you. You also agree to ensure that you logout from your account at the end of each session and agree you are responsible for any password misuse or any unauthorized access.

You acknowledge that you are responsible for the accuracy, quality, integrity, reliability, timeliness, and appropriateness of any data, information or content that you provide or enter into the Sites or that you submit through the Sites. It is a condition of your use of the Sites that all the information you provide on the Sites is correct, current, and complete, and you covenant to only provide personal information that as requested on the Sites. FCL and the Retails are not responsible or liable to you or any third party for the accuracy of any information submitted by you or any other user of the Sites or in relation to such information that is unrequested or submitted incorrectly.

FCL reserves the right to terminate or suspend your account or your access to or use of the Sites at anytime and for any reason, including instances where FCL or a Retail believes that your conduct violates these Site Terms or applicable laws, disrupts FCL's or the Retail's normal business activities or is otherwise harmful to the interests of FCL or the Retails.

6. Third Party Advertisements and Interaction

In your use of the Sites, you may through links or otherwise have access to other websites, applications, advertisements, content, data or materials of third parties ("Third Party Materials"), or may enter into correspondence with, purchase goods and/or services from, or participate in promotions of third party advertisers or other users. Any links or otherwise to Third Party Materials do not constitute an endorsement by FCL, Retails or FCL third party Site service providers of any such websites or content, products or services offered. FCL, the Retails and FCL's third party Site service providers are not responsible for the business practices, content, privacy policies, or links displayed on such websites, applications or products and services offered through such sites and your access to and use of these websites is entirely at your own risk. Any such correspondence, advertisement, purchase or promotion, including delivery of and the payment for goods and/or services, and any other term, condition, warranty or representation associated with such correspondence, purchase or promotion, is solely between you and the applicable third party. If you choose to access or interact with Third Party Materials, you do so at your own risk.

7. No Warranty

Your use of, and reliance upon, the sites and any information on or contained in the sites, including the content, is at your own risk. Access to the sites and the content and other information provided on the sites is provided on an "as-is" and "as-available" basis. FCL and the retails assume no responsibility to update the sites.

FCL and the retails do not make any warranty, representation, or endorsement with respect to the completeness, security, reliability, suitability, accuracy, currency, or availability of the website or its contents. Without limiting the foregoing, neither FCL nor the retails, or their respective subsidiaries, affiliates or their respective directors, officers, employees, agents, service providers, contractors, licensors, licensees, suppliers, or successors represent or warrant that the sites, the content, or any services or items found or attained through the sites will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that our website or the server that makes it available are free of viruses or other harmful components.

FCL and the retails disclaim all express, implied, or statutory warranties, representations and conditions of any kind with respect to the sites, including but not limited to warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement of third-party rights, accuracy, quiet enjoyment, or warranties arising from a course of dealing, usage or trade practice.

8. Site Modifications

FCL and the Retails reserve the right, in their sole discretion to modify, suspend or discontinue in whole or any part of the Sites, including any services or features available through the Sites, at any time and without further notice to you or any third party. FCL and the Retails also reserve the right, in their sole discretion, to impose limits on certain features and services available through the Sites.

9. No Liability

FCL and the Retails are not responsible for any direct, indirect, special, incidental or consequential damage or any other damages whatsoever and howsoever caused, arising out of or in connection with the use of the Sites, the Content or Third Party Materials or in reliance on any information or Content available in or on the Sites or Third Party Materials, including any loss of use, lost data, lost business profits, business interruption, personal injury or any other pecuniary loss, whether the action is in contract, tort (including negligence) or other tortious action. FCL and the Retails disclaim any liability for unauthorized use or reproduction of any portion of the Sites, including without limitation the Content or Third Party Materials. The information and Content on the Sites may be changed, withdrawn, or terminated without notice at any time in the sole discretion of and with no liability to FCL or the Retails. FCL and the Retails will not be liable if, for any reason, all or any part of the Sites is restricted to users or unavailable at any time or for any period.

10. Privacy

The Sites collect information based on visitor's Internet Protocol (IP) address, location, if enabled. Information collected also includes the date and time of every visit and communication, the mobile device, make and model and/or and the type of internet interface used to access the Sites. This data is used to provide localized content, create statistics on Site usage and to improve Sites, including services and features of the Sites.

When creating or updating an account referred to in Section 5 of these Site Terms, you will be required to provide some or all of the personal information also described in Section 5. The personal information that you provide may be accessed by FCL, the Retails, or FCL or the Retail's third party service providers as required for the provision of the Sites and the services and features available on the Sites (including for the resolution of any issues that may arise from your usage of the Sites).

Any personal information collected, used or disclosed by FCL, the Retails and/or the third party service providers in connection with the above will be subject to the requirements of applicable privacy laws. Further, the collection, use and disclosure of such personal information is subject to FCL's policies related to the protection of personal information, which can be found at https://www.fcl.crs/contact-us/app-privacy. In the case of personal information collected, used or disclosed by way of Application for Membership in a Retail as set out in Section 15 below, such information is subject to the applicable Retail privacy policies and related practices. You consent and agree to the collection, use and disclosure of all such personal information by FCL, the Retails and/or the third party service providers as described in this section and FCL's privacy policy and/or Retail privacy policy.

11. Viruses

You should take reasonable and appropriate precautions to scan for viruses and should ensure that you have a complete and current backup of the applicable items of information contained on your computer system or mobile device. You must follow your computer/mobile device provider's security recommendations to protect against any malware or virus.

12. Confidentiality Warning

Mobile-internet applications (including the Sites) are not a secure medium and confidentiality cannot be ensured. FCL and the Retails will not be responsible for any damages you or any third party may suffer as a result of the transmission of confidential information that you make available or send through the Sites, or that you expressly or implicitly authorize FCL, the Retails or third party Site service providers to make.

13. Canadian Residents

The Sites are intended to be used only by residents of Canada. The laws of your jurisdiction may be more or less stringent than the laws that apply to the Sites. If you access the Sites from outside of Canada, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction.

14. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless FCL and the Retails, and their respective subsidiaries, affiliates, directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your breach of these Site Terms or your use of the Sites.

15. Choice of Law

Unless otherwise indicated, the laws of the Province of Saskatchewan shall govern as to the interpretation, validity and effect of these Site Terms without application of any principles of conflict of laws. You consent and submit to the exclusive jurisdiction of the courts of the Province of Saskatchewan in any action or proceeding instituted under or related to the Sites or these Site Terms.

16. Additional Terms

(a) Sale of Products and Services

The sale of products and services on the Sites may be subject to additional terms.

(i) Prices, Quantity and Availability of Products and Services

Note that some of the products and services available on the Sites are based on the Retail location selected, and prices may vary by Retail. Products and services listed on the Sites may not always be available for purchase on the Sites or at all participating Retail locations.

Unless otherwise indicated, all prices listed are in Canadian dollars and all charges will be processed in Canadian dollars.

You agree to pay the price for products and services selected as shown in the Site shopping cart. Prices for products substitutions selected by a Site "personnel shopper", on Sites where such feature is available will be honored at the price of the originally selected product. Please visit or contact your selected Retail location for current information on pricing and availability.

(ii) Changes, Misprints and Errors

Subject to applicable law, FCL and the Retails: (a) reserve the right to change the products and services advertised or offered for sale through the Sites, the prices or specifications of such products and services, and any promotional offers and other Site materials, information or Content at any time and from time to time without any notice or liability to you or any other person; (b) cannot guarantee that products or services advertised or offered for sale on the Sites will be available when ordered or thereafter; (c) reserves the right to limit quantities sold or made available for sale; (d) reserve the right to cancel, to terminate or not to process orders (including accepted orders) where price or other material information on the Sites is inaccurate. If an order is not processed for any such reason, you will be advised that the order has been cancelled. Refunds or credits for cancelled orders are within the discretion of the applicable Retail.

(iii) Content Related to Products and Services

Content on the Sites relating to products and services, including, without limitation (and without limiting the definition of "Content" herein), product suggestions/substitutions, recipes, health, agricultural, construction, nutritional and wellness tips, is provided for your general information only. Because various aspects of the Content relating to products and services can change at any time, it remains your sole responsibility to always read and follow the labels, instructions or documentation that accompany any products or services you access, use or purchase from FCL or a Retail using the Sites. No Content provided on the Sites are intended to be a substitute for the advice of a health care or other professional. Further, you should carefully read all information provided by the manufacturer of the product, including, without limitation, product packaging and labels before using the product. FCL and the Retails assume no responsibility for any injury, damage or other consequential damages caused by or otherwise related (directly or indirectly) to any action or inaction you take based on the product or service or other Content available on the Sites.

(iv) Product Pick-up and Delivery

Depending on the Retail location selected, you may have the ability to choose if you would like your order to be picked up at the selected Retail location at a time chosen by you or delivered to you at a time that will be provided upon placing your order. Delivery orders may be delivered to you by a Retail courier or a third-party courier retained directly by the Retail and delivery services may be subject to additional terms and conditions. The Retail will use commercially reasonable efforts to prepare your order for the pick-up time chosen or the delivery time provided, however, FCL nor the Retails are responsible for delays beyond their reasonable control and offer no guarantee that pick-up or delivery times will be achieved. FCL and the Retails are not responsible for any delays in receiving or having your order ready for any reason. You acknowledge and agree that FCL, Retail or third-party couriers may require valid government-issued photo identification or other identification matching the name on the order and order confirmation number received at the time of placing the order to be shown at the time of pick-up or delivery of the order failing which your order may be withheld and any refund for such withheld order is at the discretion of the Retail.

(b) Online Membership Application

The following terms and conditions apply generally to online applications for membership in a Retail ("Application for Membership"). Additional terms and conditions with respect to the application, application process and membership eligibility and approval in a specific Retail may apply. To confirm, each Retail is an independently owned and operated legal entity and membership in one Retail will not result in membership in all Retails. Please contact the Retail that you are seeking to become a member of for more information on becoming a member, including the benefits and responsibilities of membership.

(i) Membership Eligibility Criteria

Subject to the by-laws of a Retail, the ability to apply for membership in a Retail is open to any person, individual or entity, who meets the following eligibility criteria:

• if an individual, is of "eligible age" as stated in a Retail's by-laws;
• Purchases the type and amount of share(s) of the Retail with a par value as established by the Retail pursuant to the Retail bylaws ("Membership Share"); and
• Submits to the Retail:
  • a completed online Application for Membership; and
  • payment of the Membership Share at time of submission of the online Application for Membership.

In submitting the Application for Membership, you certify that all information you have supplied in the Application for Membership is true and complete.

(ii) Payment

Payment for the Membership Share which must accompany your online Application for Membership must be paid to the Retail in Canadian Dollars, either by VISA or Mastercard.

(iii) Approval of Membership

Membership in a Retail is subject to the approval of the Retail's Board of Directors in accordance with the Retail's rules and by-laws. Upon approval of your membership by the Retail Board of Directors, you will receive notification via email at the email address provided by you in your online Application for Membership. In addition, a membership account ("Membership Account") with the Retail will be set up in your name and your name will also be added to the list of members of the Retail.

To confirm, the Board of Directors of a Retail has the power to refuse any application for membership, online or otherwise, in the Retail without assigning reason. Without limiting the generality of the foregoing, a Retail reserves the right to refuse membership in the Retail to any applicant and membership in a Retail may be terminated in that Retail's sole discretion, and for reasons including but not limited to failure to comply with the Site Terms (including these additional terms and conditions), the by-laws of the applicable Retail or any abuse of your membership privileges.

(iv) Retail By-Laws

By-laws are rules and regulations enacted by each Retail which govern a Retail's operations and management. Your membership, if accepted, and continued membership is conditional upon your compliance with the by-laws of the Retail, which may be amended from time to time in accordance with the governance process set out in the by-laws. Please contact the Retail in which you are seeking membership with any questions relating to the Retail's by-laws.

If there is a conflict or discrepancy between these Site Terms and a Retail's by-laws, the by-laws of the Retail will take precedence.

(v) Changes to Personal or Contact Information

If your Application for Membership with a Retail is accepted, as a member, it will be your sole responsibility to immediately notify the Retail of any changes to your personal or contact information, including but not limited to mailing address and email address. The Retail shall not be responsible and shall have no liability for any misdirected, lost or delayed communications (including communications via mail or email) resulting from your failure to provide such notification of change in personal or contact information or for any delay or interruption in delivery.

(vi) Use of information

The personal information that you provide by way of the Application for Membership will be used, collected and disclosed in accordance with the applicable Retail's privacy policies and related practices. Please contact the applicable Retail that you are applying for membership in to request a copy of the Retail's privacy policy and related procedures or with any questions you may have. To confirm, the personal information that you provide to the Retail further to the Application for Membership is being collected and will be used for one or more of the following purposes: to communicate with you; to administer membership programs; to open, maintain and administer your Membership Account; to comply with legal and regulatory requirements; for research and marketing purposes; and, to inform you about products and services by mail, telephone, email or other means. Personal information may be shared by Retails with FCL and other third party service providers for the purposes noted above and in Section 10 of these Site Terms.

To confirm, by submitting your online Application for Membership, you consent and agree to the collection, use and disclosure of all such personal information by the Retail, FCL and third party service providers as described in this section.
